Odpovědnost statutárního orgánu v kontextu insolvence

Abstract

Diplomová práce se zabývá odpovědností statutárního orgánu obchodní korporace v kontextu insolvence. Teoretická část vymezuje klíčové pojmy úpadku, platební neschopnosti a předlužení, analyzuje nástroje testování insolvence (cash flow test, balance sheet test) a hodnotí modely finančního zdraví podniku (Altmanův index, IN05, Tafflerův model). Praktická část aplikuje tyto poznatky na případ společnosti MAMMOTH s.r.o., která čelí insolvenčnímu řízení. Autor kriticky zkoumá postup managementu, včasnost podání insolvenčního návrhu, porušení povinnosti péče řádného hospodáře a další odpovědnostní instrumenty spojené s úpadkem společnosti. Závěry práce poukazují na systémové selhání v řízení rizik, nedostatečnou transparentnost a právní odpovědnost statutárního orgánu za přispění k úpadku.The thesis examines the liability of the statutory body of a business corporation in the context of insolvency. The theoretical section defines key concepts of bankruptcy, insolvency, and over-indebtedness, analyzes insolvency testing tools (cash flow test, balance sheet test), and evaluates corporate financial health models (Altman’s Z-score, IN05 model, Taffler’s model). The practical section applies these frameworks to the case of MAMMOTH s.r.o., a company undergoing insolvency proceedings. The author critically assesses the management’s actions, the timeliness of the insolvency petition, breaches of the duty of care, and other liability mechanisms linked to the company’s bankruptcy. The conclusions highlight systemic failures in risk management, insufficient transparency, and the statutory body’s legal liability for contributing to insolvency.
